Qualified Investor Register
The Financial Supervisory Authority maintains a register of natural persons and small and medium-sized companies that have requested treatment as qualified investors.
There is no obligation to publish a prospectus when securities-related offers are addressed to investors placed on the register. Only companies or natural persons that meet the requirements of the Securities Markets Act and are resident in Finland are eligible for entry into the register.
The Securities Markets Act also considers professional investors to be qualified investors; however, they need not register with the Financial Supervisory Authority. This category of investors includes securities intermediaries, investment firms, credit institutions, large companies, international financial institutions, governments, municipalities and joint municipal authorities.
The Qualified Investor Register is a public register, but information contained in the register may be delivered electronically only to issuers and other offerers of securities. To apply for placement on the register, to withdraw from the register, or to amend data in the register, a written application must be submitted to the Financial Supervisory Authority. Such application may be made using the Qualified Investor Form.
